1. Acceptance of These Terms
These Terms and Conditions govern your access to and use of BlueAdder and any related website, software, tools, and services provided by Cloughmore Bookkeeping Services ("we," "us," or "our"). By accessing, registering for, or using the software, you agree to be bound by these terms.
If you do not agree to these terms, you must not use the software.
2. Use of the Software
You may use the software only for lawful business purposes and in accordance with these terms. You are responsible for making sure that anyone who accesses the software through your account also complies with these terms.
You must ensure that the information you provide to us is accurate, complete, and kept up to date.
3. Prohibited Use
You must not use the software:
- for any unlawful, fraudulent, or abusive purpose;
- to store, process, or transmit material that is illegal, defamatory, obscene, discriminatory, or infringes the rights of others;
- to upload malware, harmful code, or any material intended to damage or disrupt systems, data, or services;
- to attempt unauthorised access to any part of the software, related systems, or other users' accounts or data;
- to interfere with the performance, security, or integrity of the software;
- to use the software in a way that breaches any applicable law, regulation, or third-party right.
4. Intellectual Property and Copying Restrictions
All intellectual property rights in the software, website, branding, content, source code, design, and related materials are owned by or licensed to us unless otherwise stated.
You must not copy, reproduce, republish, distribute, sell, sublicense, reverse engineer, decompile, disassemble, modify, create derivative works from, or otherwise exploit any part of the software except to the limited extent permitted by law or with our prior written consent.
BlueAdder is provided for your internal business use only and no rights are transferred to you other than the limited right to use the software in line with these terms.
5. Account Security
You are responsible for maintaining the confidentiality of your login details and for all activity carried out under your account.
You must notify us promptly if you become aware of any unauthorised access to your account or any other security breach.
6. Your Data
You retain ownership of the data, records, documents, and other information you upload or enter into the software. You grant us the limited rights needed to host, process, transmit, back up, and display that data solely for the purpose of operating and improving the software and supporting your use of it.
You are responsible for the legality, accuracy, and integrity of the data you submit and for ensuring that you have the right to use and share it with us.
7. Availability and Changes
We may update, modify, suspend, or withdraw all or part of the software from time to time for operational, security, legal, or business reasons.
We will use reasonable efforts to keep the software available, but we do not guarantee uninterrupted or error-free access.
7a. Trial Accounts
We may provide trial accounts for a limited period to allow you to evaluate the software. Trial accounts are permitted on a preview basis only without warranty.
We reserve the right to modify or discontinue trial accounts at any time without notice.
8. Fees and Trial Access
Where we provide a free trial, promotional access, or paid subscription, the specific pricing, limits, and billing terms made available to you at the time of sign-up will apply in addition to these terms.
We may suspend or restrict access if charges due to us are not paid when required.
9. Third-Party Services
The software may integrate with or link to third-party services, websites, or providers. We do not control those third parties and are not responsible for their content, availability, security, or terms.
Your use of third-party services may be subject to separate terms and privacy policies.
10. Disclaimer
The software is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we exclude all implied warranties, representations, conditions, and other terms that may apply to the software.
Nothing in the software constitutes legal, tax, accounting, or other regulated professional advice unless we have expressly agreed otherwise in writing.
11. Limitation of Liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive loss, or for any loss of profits, revenue, business, goodwill, data, or anticipated savings arising out of or in connection with your use of, or inability to use, the software.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
12. Suspension and Termination
We may suspend or terminate your access immediately if we reasonably believe that you have breached these terms, created a security or legal risk, failed to pay applicable fees, or used the software in a prohibited way.
On termination, your right to use the software will end immediately, but any provisions of these terms that by their nature should continue will remain in force.
13. Governing Law
These terms are governed by the laws of Northern Ireland. Any dispute or claim arising from or connected with these terms or the software will be subject to the exclusive jurisdiction of the courts of Northern Ireland, unless applicable consumer law requires otherwise.
